1.Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Handoff platform at handoff.fyi, operated by Unproto LLC, doing business as Handoff ("Handoff," "we," "us," or "our"). These Terms constitute a binding legal agreement between you and Handoff.

2.Eligibility

You must be at least 18 years of age to use Handoff. By using the platform, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

3.Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. Handoff is not liable for any loss resulting from unauthorized access to your account.

4.Use of the Platform

You agree to use Handoff only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform for any fraudulent, deceptive, or illegal activity
• Interfere with or disrupt the platform's infrastructure
• Attempt to gain unauthorized access to any part of the platform
• Misrepresent assets, credentials, or account ownership during a handoff transaction
• Upload malicious code or content

5.Handoff Transactions

Handoff provides a structured platform to facilitate the transfer of business assets and accounts between parties. Handoff is not a party to any transaction between users and is not responsible for the accuracy, completeness, or legality of any assets transferred. Users are solely responsible for verifying the validity of all assets and completing their own due diligence.

6.Sensitive Data

You acknowledge that you may submit sensitive business data, financial information, and login credentials through the platform. You do so at your own risk. While we implement security measures, Handoff expressly disclaims all liability for any loss, breach, or unauthorized access to data you submit through the platform.

7.Fees and Payment

Certain features of Handoff may require payment. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with reasonable notice.

8.Intellectual Property

All content, branding, software, and materials on the Handoff platform are the exclusive property of Handoff and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9.Disclaimer of Warranties

The Handoff platform is provided "as is" and "as available" without warranties of any kind, express or implied. Handoff does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the platform is at your sole risk.

10.Limitation of Liability

To the maximum extent permitted by law, Handoff shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of the platform — even if advised of the possibility of such damages. Our total liability to you for any claims arising under these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11.Indemnification

You agree to indemnify, defend, and hold harmless Handoff, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

12.Marketing and Communications

By creating an account, you agree to receive marketing communications from Handoff and our third-party partners. You may opt out of marketing emails at any time by clicking "unsubscribe" in any email or contacting us directly. Transactional and account-related emails are not subject to opt-out.

13.Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the platform ceases immediately.

14.Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Tampa, FL, except that either party may seek injunctive relief in a court of competent jurisdiction.

15.Changes to These Terms

We may update these Terms at any time. We will notify you of material changes via email or notice on the platform. Continued use of Handoff after changes take effect constitutes your acceptance.
